4. Project Terms and Conditions

4.2 Payment Terms

Payment terms will be specified in individual project agreements. Generally:

  • Projects require an initial deposit or retainer
  • Progress payments are due upon completion of milestones
  • Final payment is due upon project completion
  • Late payments may incur additional charges

4.3 Intellectual Property

Unless otherwise specified in a project agreement:

  • Client retains ownership of their existing intellectual property
  • ByteMinds Agency retains ownership of proprietary tools and frameworks
  • Custom code developed for the client becomes their property upon final payment
  • ByteMinds Agency may use project work in portfolios with client permission

5. Limitation of Liability

ByteMinds Agency shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses resulting from:

  • Your use or inability to use our services
  • Any unauthorized access to or use of our servers
  • Any interruption or cessation of transmission to or from our services
  • Any bugs, viruses, or other harmful code that may be transmitted

6. Warranty and Disclaimer

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that:

  • Our services will be uninterrupted or error-free
  • Defects will be corrected
  • Our services are free of viruses or other harmful components
  • The results obtained from using our services will be accurate or reliable

7. Confidentiality

We are committed to maintaining the confidentiality of your business information and will:

  • Not disclose confidential information to third parties without consent
  • Use confidential information only for the purpose of providing services
  • Implement appropriate security measures to protect confidential information
  • Return or destroy confidential information upon project completion

8. Termination

Either party may terminate a project agreement with written notice. Upon termination:

  • Client is responsible for payment of work completed up to termination date
  • ByteMinds Agency will deliver all completed work and materials
  • Confidentiality obligations continue after termination
  • Intellectual property rights are determined by the project agreement

9. Force Majeure

Neither party shall be liable for any delay or failure to perform due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, government actions, or internet service provider failures.

10. Governing Law

These terms shall be governed by and construed in accordance with the laws of the jurisdiction where ByteMinds Agency is incorporated, without regard to its conflict of law provisions.

11. Dispute Resolution

Any disputes arising from these terms or our services shall be resolved through:

  1. Good faith negotiations between the parties
  2. Mediation if negotiations fail
  3. Binding arbitration as a final resort

12. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting on our website. Your continued use of our services constitutes acceptance of the modified terms.

13. Severability

If any provision of these terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these terms will otherwise remain in full force and effect.

14. Entire Agreement

These terms constitute the entire agreement between you and ByteMinds Agency regarding the use of our services, superseding any prior agreements or understandings.
